General terms that apply to all services offered by Shortkut.
Contents
These Terms of Service (the “Terms”) govern the use of the services offered by Shortkut (“Shortkut”, “we”), a web agency that helps Quebec small and medium-sized businesses with their online presence.
By checking the acceptance box when you order, signing a quote or making a first payment to Shortkut, you (the “Client”) confirm that you have read, understood and accepted these Terms in their entirety.
The packages and features presented on the Site are a standard base. Any additional customization outside the scope described for a given package may be subject to extra fees agreed upon with your driver before the work is done.
Prices shown on the Site are in Canadian dollars and do not include applicable taxes (GST and QST), which are added at payment. Some packages include activation fees, payable once at the time of order, in addition to recurring monthly or annual fees.
Shortkut reserves the right to change its prices and package contents at any time for new orders. These changes have no effect on a package already purchased before they take effect, for the duration of the current commitment.
When ordering, the Client chooses their payment method (credit card or pre-authorized debit) and billing frequency (monthly or annual). A discount may be offered for annual billing, as indicated at the time of order.
Recurring fees are charged automatically according to the chosen frequency, on the same date each period. The Client is responsible for keeping the payment information provided to Shortkut up to date. Any declined payment may result in a temporary suspension of services until it is resolved.
Unless otherwise indicated at the time of order, each package is purchased for a minimum term of twelve (12) months, regardless of the billing frequency chosen (monthly or annual). The services offered, as described for the chosen package, are guaranteed for the entire term of this commitment.
At the end of the initial commitment period, the package continues on the same terms unless either party ends it in accordance with section 9 hereof.
Shortkut aims to launch within 30 days of receiving all the information, content and approvals needed from the Client. This timeline is approximate: it depends directly on how quickly the Client provides the required items (copy, images, access, approvals) and approves each stage of the project.
Content provided by the Client (copy, images, logos, trademarks) remains their exclusive property. The Client guarantees that they hold the necessary rights to this content and authorizes Shortkut to use it solely to deliver the services ordered.
Once the package is paid in full, the Client obtains the rights to use the website, logo or other deliverables Shortkut produced for them. Shortkut’s own tools, templates, reusable source code and working methods remain Shortkut’s property, whether or not they were used to carry out the mandate.
Shortkut takes reasonable measures to ensure the quality, security and availability of its services. However, Shortkut cannot be held responsible for interruptions, losses or damages arising from services provided by third parties (host, payment providers, advertising platforms, social networks, artificial intelligence tools) over which it has no direct control.
In all cases, Shortkut’s total liability to the Client, for any reason whatsoever, is limited to the amount actually paid by the Client for the package concerned over the previous twelve (12) months.
The Client may request the cancellation of a package before the end of its commitment period by contacting their driver or customer service. Depending on the terms agreed upon at the time of order, fees may apply to cover services already provided or the balance owing for the current commitment period.
Shortkut may suspend or terminate a package in the event of non-payment, after reasonable notice to the Client, or if the services are used in a way that is contrary to the law or to these Terms.
Shortkut may change these Terms at any time. The version in force is the one posted on this page on the date of your order or your use of the services. It is the Client’s responsibility to check this page periodically to stay informed of changes.
These Terms are governed by and interpreted in accordance with the laws in force in the province of Quebec (Canada), without regard to conflict of laws principles. Any dispute relating hereto will be subject to the exclusive jurisdiction of the courts of the province of Quebec, judicial district of Montreal.
